Developing and protecting a business through its lifecycle is a continuous process. Ensuring the correct corporate structure is in place with articles of association, shareholders agreements, investment agreements, LLP agreements or partnership agreements sets the framework to deal with all eventualities, from unexpected departures through to the need to attract talent or investment, and allows stakeholders to plan for and achieve the outcomes they want.

Our team has extensive knowledge and expertise in assisting clients with putting in place share-based incentives, encompassing both unapproved and approved share options (including EMI option schemes), to attract, incentivise, reward and retain management teams and key employees. These are increasingly important tools for growing a business, retaining its talented staff and planning for business succession.

To facilitate the creation of value in a business and protection of that value, it is critical that appropriate commercial agreements are put in place, from joint venture agreements, licensing agreements, and supplier and distribution framework agreements to terms and conditions of sale, confidentiality agreements and consultancy agreements.

Our experience with all aspects of these measures to develop and protect our clients’ businesses ensures that our clients’ businesses can develop and flourish with a minimum amount of risk.
