Thaynara has been part of the Corporate and Commercial team since 2015, having originally qualified as a lawyer in Brazil. Over the period, she has developed a wealth of experience in the corporate field encompassing the full spectrum of work undertaken by the team.
Thaynara’s areas of focus include share and asset sales/purchases; group re-organisations, mergers and demergers; investment rounds and subscription agreements; share options and EMI schemes; corporate governance matters; articles of association; shareholders’ agreements; standard terms and conditions and commercial agreements.
Thaynara has significant experience in acquisitions and disposals of businesses leading asset and share acquisitions/sales, advising clients upon all aspects of these transactions from the legal due diligence and disclosure processes through to drafting and negotiation of purchase agreements.
She has also developed particular expertise in complex re-structuring of owner-managed businesses including corporate group simplifications, demergers of family businesses and formation and structuring of family investment companies, working closely with our private client team and external advisors in the process.
