Company Secretarial

The updating of company records and the filing of information at Companies House is often referred to as company secretarial matters. As the name suggests whilst the ultimate responsibility for updating records and filing information lies with the directors, it is a function they often delegate to the company secretary.

Whilst larger companies will employ a professional company secretary, this is not economically viable for small to medium sized companies. Instead, it is normal for one of the directors or another third party to be registered as company secretary to undertake those duties. Those duties include the following:

  • the submission of the annual return to Companies House, along with annual accounts in the prescribed form;
  • the updating of the company's registers;
  • the submission of filings with Companies House in relation to change of directors, change of secretary, change of registered office, change of accounting reference date, and allotment of shares;
  • submission of any special resolutions or written resolutions to Companies House as well as updating Companies House as to any changes in the company's constitutional documentation.
